CONTRACT FOR INDIVIDUAL BUSINESS OWNER ( IBO )
This Document Including the IBO overleaf, if fully completed, signed by the IBO ( termed as Distributor(s) here after), when duly accepted by Daily Need Marketing & Retail Pvt. Ltd, constitutes the Agreement ("Agreement") between by Daily Need Marketing & Retail Pvt. Ltd., and the Distributor(s) whose signature and other identification data appear herein before.

(1) Daily Need Marketing & Retail Pvt. Ltd. appoints the overleaf – as a distributor of products of Daily Need Marketing & Retail Pvt. Ltd and the products sourced by them ( named hereafter as DNM Products ) and the Distributor(s) (herein after individually and collectively referred to as the "Distributor") accept(s) such appointment. Distributor may, on a non-exclusive basis, purchase DNM products from Daily Need Marketing & Retail Pvt. Ltd., to resell, distribute and market in the territory of India to individuals on personnel basis.

(2) Distributors hereby confirms that he/she has entered into this Agreement as an independent contractor. Nothing in this Agreement shall establish an employment relationship, or an other relationship between the Distributors and Daily Need Marketing & Retail Pvt. Ltd. and nothing shall establish the Distributor's position as procurer, broker, commercial agent, contracting representative or other representative of Daily Need Marketing & Retail Pvt. Ltd. When purchasing and selling DNM products, the Distributors shall act as an independent vendor, acting in his/her own name, at his/her own responsibility and for his/her own account.

(3) Joining to Daily Need Marketing & Retail Pvt. Ltd. as Distributer is free. To become a Sponsor, the Distributor needs to accumulate 300 BV of personal purchases of DNM products with-in 7 days of joining. Failure to this, the distributor will not get any payout. The id will be activated for Sponsorship only from the date of accumulation of 300 BV points.

(4) Relation between Daily Need Marketing & Retail Pvt. Ltd. and the Distributor and all its activities hereunder shall be governed so far as may be applicable, in addition to this Agreement, by the rules contained in

a) Daily Need Marketing & Retail Pvt. Ltd. Sales and Marketing Plan and
b) Rules of Conduct (herein after collectively referred to as "COC Documents". The Distributor confirms that it has received a copy of COC Documents and has read the terms and conditions thereof and agrees to be bound by them in addition to this Agreement. Daily Need Marketing & Retail Pvt. Ltd. may amend from time to time and shall be available on the company website. If any Distributor does not agree to be bound by such amendment it may terminate this Agreement within 30 days of such publication by giving a written notice to Daily Need Marketing & Retail Pvt. Ltd. Distributor's continued relationship with Daily Need Marketing& Retail Pvt. Ltd. would constitute an affirmative
a) acknowledgment by the Distributor of the amendment and
b) agreement by Distributor to abide and be bound by this Agreement, COC Documents and its modifications.

(5) This Agreement becomes effective from the date of acceptance of application of the Distributor by Daily Need Marketing & Retail Pvt. Ltd. Such acceptance shall be communicated by sending to the Distributor, a letter of acceptance or Distributor Identification Card. Distributor Identification Card is and shall remain the property of Daily Need Marketing & Retail Pvt. Ltd. and the Distributor shall return it to Daily Need Marketing & Retail Pvt. Ltd. without any delay upon termination or expiration of this Agreement.

(6) Daily Need Marketing & Retail Pvt. Ltd. may reject this application for any reason, at its discretion, including if the application contains incomplete, inaccurate, false, or misleading information. Any alteration or modification will be subject to verification.

(7) The Distributor hereby expressly authorizes Daily Need Marketing & Retail Pvt. Ltd. to make available, release and disseminate all or part of the information set forth herein to other Daily Need distributors & Customers within or outside of India. The Distributors agrees that he/she has read and understand Daily Need Marketing & Retail Pvt. Ltd. Privacy Policy as published on www.dnmbusiness.com with respect of the information set forth herein or any other information provided by the distributor to Daily Need Marketing & Retail Pvt. Ltd. The Distributor agrees to receive SMS & Email notifications from Daily Need Marketing & Retail Pvt. Ltd & its affiliates concerning his/her DNM Business.

(8) The Distributor will be allowed to sponsor a prospect into the Daily Need Marketing & Retail Pvt. Ltd. business only after activating his/her distributorship.

(9) Distributor shall not sell any Daily Need product for a price exceeding the Maximum Retail Price. Distributor may charge, at his discretion, any price that is lower than the Maximum Retail Price indicated on the label of any product or in any, the applicable, price list issued by Daily Need Marketing & Retail Pvt. Ltd.

(10) This Agreement is effective for an initial definitive period of one (1) year, from the date of acceptance hereof by Daily Need Marketing & Retail Pvt. Ltd. However, in case of acceptance by Daily Need Marketing & Retail Pvt. Ltd. of the Distributor's contractual offer on or after 1st September, this Agreement will be effective till December 31 of the following year.

(11) All Distributors are required to renew their distributorships for the following year on or before December 31 of each year. Daily Need Marketing & Retail Pvt. Ltd. reserves the right, at its complete discretion, to reject any application for renewal.
(12) Terminate this Agreement:
(a) The Distributor may terminate this Agreement at any time by giving a written notice to Daily Need Marketing & Retail Pvt. Ltd.
(b) Daily Need Marketing & Retail Pvt. Ltd. may terminate this agreement by giving a written notice:
(A) pursuant to the provisions of the Rules of Conduct;
(B) for reasons of non-performance and
(C) for the breach of any terms and conditions of this Agreement.
(D) Violation of intellectual property rights such as property, privacy, portrait rights and copyrights of Daily Need Marketing & Retail Pvt. Ltd.
(E) Violation of laws, public order and morality and social order discriminating or defaming Daily Need Marketing & Retail Pvt. Ltd., other Distributors or third parties.
(F) Selling or display of the products including kit to other distributors or any third parties in any retail outlet, through the internet or any other ways.
(G) Recruit for direct selling business of other companies, and recruit for any other activities that can disturb and hamper Daily Need Marketing & Retail Pvt. Ltd. business.
(H) Make any false report to Daily Need Marketing & Retail Pvt. Ltd. and create disadvantages to the Daily Need Marketing & Retail Pvt. Ltd. or other distributors.
(I) Daily Need Marketing & Retail Pvt. Ltd. will not allow the distributor to change their up line distributors in case of any dispute or any other reason.

(13) This Agreement is entered into on a personal basis and neither this Agreement nor any of the rights or obligations of Distributor arising under this Agreement may be assigned or transferred without the prior written consent of Daily Need Marketing & Retail Pvt. Ltd.

(14) Daily Need Marketing & Retail Pvt. Ltd.'s liability, whether in contract or otherwise arising out of or in connection with this agreement and/or relationship arising there from shall not exceed the lesser of a) actual damages or loss assessed by the arbitrator as any other dispute resolution mechanism adopted by the parties or; b) the total discounts earned by the Distributor during the preceding six months of the date of dispute.

(15) Under no circumstances any person is authorized to repackage or in any way alter the packaging or labeling or logos are printed, unless approved by Daily Need Marketing & Retail Pvt. Ltd.

(16) Any dispute, differences or claim arising out of as in connection with this Agreement shall be submitted to binding arbitration and shall be referred to the sole Arbitrator appointed in accordance with the rules and regulation of International center for Alternate Dispute Resolution as a fast track arbitration. The venue of such arbitration shall be at Delhi and the award of the Arbitrator shall be final and binding on all parties. The courts at Delhi shall alone have jurisdiction in relation to this Arbitration Agreement and any award arising there from.

(17) Daily Need Marketing & Retail Pvt. Ltd. also reserves the right to change the compensation plan without any prior notice/approval of the Distributors.

(18) The Distributor is also liable to the company for any additional costs incurred by Daily Need Marketing & Retail Pvt. Ltd. in recovering any overdue amount from the distributor of whatsoever nature including attorney fees and court costs incurred by Daily Need Marketing & Retail Pvt. Ltd.

(19) Return Policy: In case if the Distributor receives damaged product, he/she shall report to customer care of Daily Need Marketing & Retail Pvt. Ltd. for replacement within 24 hours after receiving. He/She also shall return the damaged product to Daily Need Marketing & Retail Pvt. Ltd. via the delivery company when he/she receives alternative product.

(20) Daily Need Marketing & Retail Pvt. Ltd. will make all payments on account of returns or refunds through account payee cheque drawn in favour of Applicant only.
