In these Rules unless the context otherwise require, the following words and phrases shall mean what is given below:
"DNM" means Daily Need Marketing and Retails Pvt. Ltd. a company registered under the Companies Act, 2013 having its registered office DSB-36, 1st Floor, Red Square Market, Hisar – Haryana.
"DNM Business" means the aggregated rights, duties, and privileges of a Distributor to conduct business with Daily Need. "Business Volume (B.V.) is the value of a product on which the Sales Incentive is calculated. It can be seen on company's website. The B.V. of product may be equivalent to selling price or different as may be declared by the company from time to time. Business Volume can also be changed from time to time by the company.
"DNM Products" means all goods and services, including literature and other supporter auxiliary materials, made available by Daily Need Marketing to Distributors.
"DNM Mart" is the retail outlet owned by company or authorized Distributor of the company from where products can be purchased by DNM distributor or any other person.
DNM Sales and Marketing Plan" means the plan provided in the DNM Business Starter Guide detailing DNM performance incentive systems, sponsoring procedures and guidelines, requirements, systems, procedures and policies regarding the presentation of DNM Products, the DNM business and the management of an DNM organization, as amended from time to time by Company and of which these Rules are a part. DNM Business Starter Guide" means the literature provided with the Distributor Application.
Business Support Guides" (BSG) refers to any privately produced materials, in both written and recorded form, and meetings which may be developed, produced, and distributed by Distributors for the purpose of training and motivating the Distributors in their Business Group, as well as for the purpose of attracting prospects in becoming DNM Distributors, which is regulated in terms of section 7 herein below.
Business Group" refers to that Distributor and all his personally sponsored Distributors, all those Distributors sponsored by his personally sponsored Distributors and so on down to and including those who have not sponsored anyone, but excluding any Platinum's in the organization under him or any Distributors in the Business Group of such Platinum's.
Business Support Material", "Material", "BSM" shall have the meaning assigned to it in Section 7 herein below.
"Corporate Authorization Form" means the form required to be filled in by proprietorship concern, partnership or a company desiring to become a Distributor, which provide information about the business entity and the authorized signatories thereof. a certain level of business activity as "Distributor" means a person or entity that is introduced to the DNM business and is accepted by DNM as a Distributor in accordance with Section 3 of these Rules; this term includes the terms "Sponsor" and Distributors are independent business persons, operating their own independent businesses, and have no employment, agency or similar relationship with DNM.
"Distributor Application" means Form SA-88-ID application detailing the terms and condition of Distributorship that is required to be filled in and submitted by a person desiring to become an DNM Distributor.
"Line of Sponsorship" shall include in an ascending manner the Sponsor of a Distributor, the Sponsor's Sponsor, and so forth and shall end at DNM Business.
"Market" means the territory of India and such additional territories as may be added by DNM Business from time to time. "Membership Year" is a calendar year commencing from January 1 and ending on December 31. All Distributorships, unless renewed during the renewal period or terminated earlier by DNM Business or the Distributor, expire at the end of one year from the date of joining except for Distributorship availed during September to December 31 of a calendar year which expire on December 31 of the following year.
"Rules of Conduct"/ "Rules" shall mean these Rules of Conduct for Distributors which can be changed or modified by DNM Business from time to time, as provided in these Rules.
"Sponsor" means a Distributor who introduces to DNM Business an applicant for authorization as a Distributor who in turn becomes a Distributor by virtue of DNM's acceptance of his Distributor Application; "personally sponsored Distributor" has a corresponding meaning.
(A) All the terms used in these Rules that are Defined or explained in the DNM Business Sales and Marketing Plan shall have the same meaning as Given in the DNM Business Sales and Marketing Plan.
(B) Except when the content so requires, everything that Is in the singular shall include the plural, and whatever refers to the masculine shall include the feminine. The DNM Business Sales and Marketing Plan shall be considered to be an integral part of these Rules of Conduct.
